Investment Readiness Legal Pack
Close your funding round. Don’t get slowed down by legal housekeeping.
The fastest way to lose investor leverage is to have a term sheet in hand and discover that your cap table has errors, your founders never formally assigned their IP, or your shareholders agreement is two years out of date. - Data room checklist and folder structure
- Written pre-investment readiness report with priority action list
- 60-minute strategy video call with the founding team

Frequently asked questions
What is an investment readiness legal pack?
It is a structured legal preparation package that gets your Irish startup ready for angel, seed or pre-Series A investment. We bring your corporate hygiene, cap table, IP ownership, shareholder arrangements, and governance in line with what Irish and UK investors will expect to see in due diligence — so that when an investor issues a term sheet, the DD phase is smooth rather than a scramble.
What is included in the pack?
The pack includes: a Cap Table Legal Health Check, a Founder IP Assignment audit and remediation, review of the current shareholders agreement and constitution against investor-ready standards, a pre-emption and share-class review, director duties and board governance review, a data room checklist and structure, and a written pre-investment readiness report with a prioritised action list. Any drafting required to fix identified gaps is scoped and priced separately upfront.
How much does the Investment Readiness Legal Pack cost?
The fixed fee is €595. This covers all of the review, reporting and strategic preparation. If remedial drafting is needed — for example, a new founder shareholders agreement, retrospective share allotments, or formal option grants — each item is quoted on fixed fees before any additional work begins, so the total cost is transparent and controlled.
When should we start investment readiness prep?
Ideally 3 to 6 months before you plan to open conversations with investors. It is still valuable if you are in active discussions — investors who uncover problems during due diligence use them as negotiating leverage on valuation, warranties and indemnities. Every week of clean documentation is worth a multiple of its cost at term-sheet stage.
What do Irish and UK investors actually look at during DD?
Share register, cap table, constitution, shareholder agreements, IP ownership chain, founder employment and IP assignment, option scheme documentation, past funding instruments (SAFEs, convertibles), director and shareholder resolutions, employment contracts for key staff, customer and supplier terms, data protection compliance, and any litigation or disputes. The pack covers the corporate, shareholder and IP side — which is where most issues sit.
Is this substitute for a commercial due diligence provider?
No — this is the legal readiness layer. Commercial and financial DD (revenue quality, unit economics, financial forecasts) sits with your accountant or CFO. We coordinate happily with whoever is running the financial DD workstream.
How long does the pack take to deliver?
Typical delivery is 3 to 4 weeks depending on document availability. The review phase is 10-14 working days, followed by the report and debrief call, followed by any optional remediation.
Can this be done alongside an ongoing fundraise?
Yes. We can run the readiness workstream in parallel with your investor outreach so that by the time a term sheet is issued, your house is in order.
Need ongoing legal support?
If you want predictable ongoing legal backup rather than just this one-off service, our Monthly Legal Retainer for SMEs gives Irish companies direct access to our team for €149/month — no hourly billing, cancel any time.
