Annual Return Filing Ireland: Deadlines, Penalties & How to Stay Compliant in 2026
What Is an Annual Return and Why Does It Matter?
Every company registered in Ireland is legally required to file an annual return with the Companies Registration Office (CRO) at least once every 12 months. This is not optional — failure to file on time results in late filing penalties, loss of audit exemption, and can ultimately lead to your company being struck off the register.
At Online Legal Services, we file annual returns for hundreds of Irish companies every year. Our fixed-fee service means you know exactly what you are paying — no surprises.
Annual Return Deadlines
Your company’s Annual Return Date (ARD) is set by the CRO, typically six months after incorporation for new companies. Subsequent returns are due every 12 months from that date. The return must be filed within 56 days of your ARD. Missing this window triggers late filing penalties starting at €100 and increasing by €3 per day, up to a maximum of €1,200.
What Needs to Be Included
An annual return (Form B1) includes details of your company’s directors, secretary, registered office address, share capital, and shareholders. Depending on your company’s size and turnover, you may also need to attach financial statements (abridged or full accounts).
Common Mistakes to Avoid
The most common reasons for late filings include forgetting the deadline, not having accounts prepared in time, and changes in company officers that were not updated with the CRO. Setting a calendar reminder 8 weeks before your ARD gives you enough time to prepare.
